1. Agreement
These Terms & Conditions ("Terms") govern participation in the GradePro agent referral programme ("the Programme"). By creating an agent account and accepting these Terms, you ("the Agent") agree to them.
2. Relationship
Agents are independent referrers. Nothing in the Programme creates an employment, agency, partnership or franchise relationship. Agents may not make commitments on GradePro's behalf, offer discounts or guarantees we have not published, or present themselves as GradePro staff.
3. Registration, verification and bank details
Anyone may apply and immediately receives a personal referral code and link. Before commissions can be paid, the Agent must (a) provide the bank account details commissions are paid into, and (b) complete identity verification (KYC). Bank details are required before verification documents can be submitted. The Agent's account is activated when verification is approved; a rejected or re-requested verification returns the account to pending and pauses payouts.
A payout destination is created automatically with our payment processor (Paystack) from the bank details the Agent provides, and is kept linked to those details when they change. The Agent is responsible for the accuracy of their bank details; payments made to the account provided discharge our payment obligation.
4. Referrals and attribution
A school is attributed to the Agent when it completes onboarding via the Agent's referral link or enters the Agent's referral code. Attribution is fixed at onboarding and does not change afterwards. Self-referrals, fabricated schools, and schools obtained by spam or misrepresentation earn nothing and may lead to removal from the Programme.
5. Commission
While commission-eligible (clause 6), the Agent earns 10% of each successful subscription payment made by their referred schools. Commission is calculated on the amount actually received, excluding refunds.
6. Eligibility — the two-school rule
The Agent earns and collects commission only while at least two (2) of their referred schools are eligible at the same time. A referred school is eligible when its GradePro subscription is active and its first payment was made more than 7 days ago (i.e. it is past the money-back window).
This rule is continuous, not a one-time milestone. If the Agent's eligible schools drop below two — for example, one of two schools cancels its subscription — the Agent immediately stops earning and collecting commission, including on the school that remains active, until they are back at two or more eligible schools.
7. Forfeiture
A subscription payment that occurs while the Agent is below the two-school threshold earns no commission, permanently. It is not deferred, back-paid or restored when the Agent later regains eligibility. Commission already earned while eligible remains owed and is paid out once the Agent is eligible again.
8. Payout timing and refunds
Commissions become payable only after the underlying school payment is more than 7 days old, so that a payment the school can still cancel and have refunded is never paid out. If a school's payment is refunded under the money-back guarantee, the commission on that payment is cancelled.
Payable commissions are batched and transferred automatically to the Agent's bank account; settlements are triggered by subscription activity, so exact payout dates vary. We may withhold or reverse payouts we reasonably believe result from fraud, abuse or error.
9. Taxes
Commissions are paid gross. The Agent is solely responsible for declaring and paying any tax due on Programme income.
10. Programme changes and termination
We may change commission rates, eligibility rules or any part of the Programme prospectively with notice; changes do not reduce commission already earned. We may suspend or terminate an Agent who breaches these Terms. The Agent may leave the Programme at any time; commission already earned and eligible for payout will still be paid.
11. Liability
To the maximum extent permitted by law, our total liability to the Agent under the Programme is limited to the unpaid commission properly owed at the time of the claim. We are not liable for indirect or consequential loss.
12. Governing law and contact
These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute. Questions about these Terms can be sent through the contact page.
