1. Agreement

These Terms & Conditions ("Terms") govern your school's use of the GradePro school-management platform ("GradePro", "we", "us"). By completing onboarding and accepting these Terms, you — the person creating the account — confirm that you are authorised to bind the school you register ("the School"), and the School agrees to these Terms.

2. The service

GradePro provides a hosted school-management portal: student, teacher and parent records, classes and grading, results and transcripts, attendance, assessments (including computer-based testing), messaging, and related tools. The School's portal is served on its own subdomain and branded with the School's name, logo and colours.

3. Accounts and administrators

The person who registers the School becomes its super administrator. The School is responsible for every account it creates (administrators, teachers, students, parents), for keeping credentials confidential, and for all activity under its accounts. Information provided at registration and afterwards must be accurate and kept up to date.

4. Verification (KYC)

Before subscribing, the School must complete identity verification by submitting the requested documents. We may approve, reject, or request re-submission at our discretion, and may suspend a School whose verification is later found to be inaccurate or fraudulent.

5. Subscription, billing and student limits

GradePro is a paid subscription taken through our payment processor (Paystack), billed either monthly or annually. Plans are tiered by the number of ACTIVE students the School holds; current tiers and prices are shown on the pricing page. Monthly subscriptions renew automatically each month until cancelled.

How students are counted. We record the number of ACTIVE students in the School once each day. A billing period is charged on the average of those daily counts, not on the number of students present on any single date. A student added or removed part-way through a month therefore counts only for the days they were active.

Monthly plans. Each tier has a student cap. When the School reaches its cap, adding further students requires moving to a higher tier — students are never added automatically, and the School is never moved to a higher tier or billed a higher tier price without its action.

Annual plans. An annual payment buys a fixed block of seats, equal to the tier's cap, for twelve months. The School may exceed that block: extra students are not blocked, and are billed each month at the per-student rate shown on the pricing page. This additional charge is automatic and is taken from the payment method on file without a further instruction from the School. Small balances may be carried forward and charged together. Falling below the block does not reduce the annual price or create a credit.

Schools above the largest tier. A School whose students exceed the largest tier's cap moves to per-student billing, charged monthly on the average described above. Per-student billing is not available below that threshold, and annual prepayment is not available on it.

Variable charges and consent. Where an amount can vary between periods — annual overage and per-student billing — the School must accept variable charging before those charges begin, and must keep a valid payment method on file. We record the date and originating IP address of that acceptance. Prices and tier caps may change with prior notice; changes apply from the next billing period, and an annual block already purchased is not affected for the remainder of its term.

6. Money-back guarantee and cancellation

The School may cancel its subscription at any time. After cancellation the subscription remains usable until the end of the already-paid period, unless refunded as below.

Monthly plans. If the most recent successful charge occurred within the last 7 days, cancelling triggers an automatic refund of that charge (the 7-day money-back guarantee). Charges older than 7 days are not refundable.

Annual plans are not refundable. An annual payment buys a block of seats for a fixed term at a reduced rate, and is not refunded in whole or in part on cancellation, on a fall in student numbers, or on the School ceasing to use the service before the term ends. The 7-day money-back guarantee does not apply to annual payments. This is stated again at checkout before payment is taken.

Payment processing charges are not refundable. Where the payment processor adds its transaction charge to the amount payable at checkout, that charge is retained by the processor and is not returned by us on a refund. A refund under the money-back guarantee therefore returns the subscription price for the plan, excluding any such processing charge.

7. Portal availability on non-payment

The School portal — including access for teachers, students and parents — locks automatically when the subscription lapses (expiry, failed renewal, or cancellation). Data is not deleted on lapse: renewing the subscription restores access to the School's records.

8. School data, students and privacy

The School owns its records (student, staff, parent, academic and financial data it enters). We process this data solely to provide the service. The School is responsible for the accuracy of the data it enters and for having the right — including any consent required from parents or guardians — to store student and parent information on the platform.

We take reasonable technical and organisational measures to protect the School's data. The School may request an export of its data; on account deletion we remove the School's data from the live system within a reasonable period, subject to statutory retention duties.

9. Fee collection (where enabled)

Where the online fee-collection feature is enabled for the School, parent payments are processed by Paystack and settled to the bank account the School provides, after verification, less any disclosed platform and processor charges. The School is responsible for the accuracy of its settlement bank details and for its own fee policies toward parents. Payments recorded manually (cash, bank transfer) are the School's own responsibility and pass through neither GradePro nor Paystack.

The processor's transaction charge on a parent payment is borne by the payer at checkout and is retained by the processor. It is not refundable, and it does not form part of the amount settled to the School or of any refund the School may choose to make to a parent.

Enabling fee collection is the School's decision, and the School accepts the risks that come with accepting money online.

GradePro does not hold, move or take custody of any parent payment. Money passes from the payer, through Paystack and the banking system, to the School's own settlement account. Our role is limited to presenting the payment page and recording the outcome the processor reports back to us.

Accordingly, GradePro accepts no responsibility or liability for any payment that fails, is delayed, is duplicated, is debited without being credited, is reversed or charged back, or is otherwise lost in transit between the payer, the processor, and the School's bank. This includes, without limitation, failures or delays caused by the payer's bank, the School's bank, card networks, switches, the processor, or any downtime, settlement delay or outage affecting them.

Where a payment fails or a payer is debited without the payment being credited, the matter must be taken up with the payer's bank and, where relevant, with Paystack, through their dispute and chargeback processes. Those are the parties that hold the funds and the transaction records, and they alone can trace or reverse a transaction. GradePro is not a party to that dispute and cannot refund, release, reverse or recover a payment it never held.

We will, on request and within what our records allow, provide the transaction references we hold to help the School or a parent pursue such a claim. Providing that assistance is not an admission of liability and does not make us responsible for the outcome.

Nothing in this section limits any liability that cannot be limited or excluded under applicable law, or any obligation Paystack owes directly to the School or to a payer under its own terms.

10. Acceptable use

The School and its users must not:

  • use the platform for any unlawful purpose or store unlawful content;
  • attempt to breach, probe or overload the platform's security or infrastructure;
  • resell or sublicense access to the platform without our written consent;
  • upload malicious code or interfere with other schools' data or portals;
  • misrepresent the School's identity or verification documents.

We may suspend or deactivate a School that breaches these Terms; where practical we will give notice and an opportunity to remedy first.

11. Availability and changes to the service

We aim to keep GradePro available at all times but do not guarantee uninterrupted service. Features may be improved, added or withdrawn; we will give reasonable notice of changes that materially reduce the service the School pays for.

12. Liability

To the maximum extent permitted by law, GradePro is provided "as is" and our total aggregate liability arising out of or relating to the service in any 12-month period is limited to the subscription fees the School paid in that period. We are not liable for indirect or consequential loss, or for loss caused by events outside our reasonable control. Nothing in these Terms excludes liability that cannot be excluded by law.

For the avoidance of doubt, parent fee payments are not subscription fees and are never held by us, so they form no part of that cap and are not recoverable from us. Liability for failed, delayed or lost payments is dealt with in section 9.

13. Changes to these Terms

We may update these Terms from time to time. The version number above changes when we do, and material changes will be notified to the School's registered email or in-app. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.

14. Governing law and contact

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute. Questions about these Terms can be sent through the contact page.
